VEHICLE TRANSPORT SERVICE AGREEMENT

SAFEEDS AUTO TRANSPORT INC.

This Consumer/Business Vehicle Transport Service Agreement ("Agreement") is entered into by and between Safeeds Auto Transport Inc. ("Safeeds," "Broker," or "Company") and the individual/business customer identified on the shipment order ("Customer").

By signing electronically or physically, approving dispatch, or submitting payment, Customer agrees to be legally bound by the terms and conditions set forth herein.

1. Broker Status and Scope of Services

Safeeds Auto Transport Inc. operates solely as a federally licensed property broker pursuant to authority granted by the Federal Motor Carrier Safety Administration (FMCSA). Safeeds does not operate as a motor carrier and does not physically transport vehicles. Safeeds arranges transportation services by contracting with independent, licensed, and insured motor carriers. Once a carrier is assigned, the carrier is solely responsible for the transportation of the vehicle.

2. Authorization to Transport

Customer represents and warrants that they are the lawful owner of the vehicle or have proper authorization to tender the vehicle for shipment. Customer authorizes Safeeds to arrange for transport of the vehicle described in the shipment order.

3. Pricing and Payment Terms

The total shipment cost consists of a broker service fee and a carrier transport fee. The broker fee is charged at the time of booking unless otherwise agreed in writing. The remaining balance is typically paid directly to the carrier at delivery in approved payment form.

Quotes are based on information provided by Customer and are subject to change if the vehicle description, condition, operability, dimensions, or route details differ from what was originally disclosed.

4. Pickup and Delivery Estimates

Pickup and delivery dates are estimated timeframes only and are not guaranteed. Delays may occur due to weather, traffic, mechanical issues, regulatory inspections, or other circumstances beyond Safeeds' control.

Customer or an authorized adult representative must be present at pickup and delivery to sign the Bill of Lading (BOL). The BOL serves as both receipt and vehicle condition report.

5. Vehicle Preparation Requirements

Customer agrees to:

• Remove all personal belongings from the vehicle.
• Ensure no more than one-quarter tank of fuel is present.
• Disable alarms and provide all necessary keys.
• Disclose any inoperable condition in advance.

Failure to properly prepare the vehicle may result in additional charges or shipment delays.

6. Insurance and Claims

All assigned carriers are required to maintain cargo insurance in accordance with federal regulations. Insurance coverage is subject to the carrier's policy terms, limitations, and deductibles.

Any damage must be noted on the Bill of Lading at the time of delivery. Claims must be filed directly with the carrier. Safeeds may assist in communication but does not assume liability for carrier negligence or insurance determinations.

7. Limitation of Liability

Safeeds' liability is limited to the amount of the broker fee paid for the shipment. Safeeds shall not be liable for indirect, consequential, incidental, or punitive damages, including loss of use, rental costs, lost profits, or emotional distress.

8. Cancellation Policy

Orders canceled prior to carrier assignment may qualify for refund of the broker fee minus administrative costs. If a carrier has been assigned or dispatched, the broker fee may become non-refundable.

9. Force Majeure

Safeeds shall not be liable for delays or failure to perform due to events beyond reasonable control, including natural disasters, severe weather, traffic conditions, government actions, labor disputes, or mechanical breakdowns.

10. Dispute Resolution and Governing Law

This Agreement shall be governed by the laws of the State of Ohio. Any dispute arising from this Agreement shall be resolved through binding arbitration conducted in the State of Ohio on an individual/business basis.

11. Entire Agreement

This Agreement, together with the shipment order and Safeeds' published Terms & Conditions, constitutes the entire agreement between the parties and supersedes all prior discussions or representations.

12. Electronic Signatures

Electronic signatures, confirmations, and digital approvals shall be considered legally binding and enforceable to the same extent as handwritten signatures under applicable law.
